• UI/UX design and branding
• SEO and digital marketing services

2. Services

We offer both project-based services and subscription-based services.

• Project-based services include custom development, design, and branding
• Subscription services include ongoing SEO, maintenance, and marketing

All services are defined and agreed upon before project initiation.

3. Payment Terms

• Project-based services follow a milestone-based structure (50% upfront / 50% upon completion)
• Subscription services are billed on a recurring monthly basis

All payments are processed securely through Paddle, our Merchant of Record, who handles billing, tax compliance, and payment processing.

By purchasing our services, you agree to Paddle’s terms as applicable.

4. Refunds

Refunds are governed by our Refund Policy, available on our website.

By using our services, you acknowledge that you have read and agreed to our refund terms.

5. Client Responsibilities

Clients agree to:

• Provide accurate and complete information
• Supply necessary content, materials, and feedback in a timely manner
• Maintain communication throughout the project lifecycle

Delays caused by the client may impact delivery timelines and refund eligibility.

6. Intellectual Property

Upon full payment:

• Clients receive full ownership rights to the final delivered work (designs, code, assets), unless otherwise agreed
• BrainGig LLC reserves the right to:
• Showcase completed work in portfolios
• Use non-confidential materials for marketing purposes

7. Revisions and Scope Changes

• Projects include a defined scope agreed upon at the start
• Additional features or changes outside the agreed scope may:
  • Require additional fees
  • Extend delivery timelines

8. Limitation of Liability

To the fullest extent permitted by law:

• BrainGig LLC shall not be liable for any indirect, incidental, or consequential damages
• We do not guarantee specific business outcomes (e.g., SEO rankings, revenue growth)

9. Termination

We reserve the right to terminate or suspend services if:

• Terms are violated
• Payments are not completed
• Communication breaks down significantly

Clients may also terminate services, subject to applicable refund policies.

10. Third-Party Services

Our services may involve third-party tools, platforms, or integrations. We are not responsible for the performance or policies of these third parties.

11. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the State of Wyoming, United States.

12. Changes to Terms
